# Affiliate Program Terms (Partners)

These terms ("Affiliate Terms") govern participation in the Seenly affiliate program, operated by ETIENNE SOLUTIONS SRL (CUI 33090409, J40/4960/2014), Bucharest, Romania ("Seenly", "we"). By enrolling and/or generating an affiliate link, you confirm that you have read and accept these Terms. If you do not agree, do not use the program.
These Terms supplement Seenly's general Terms and Conditions; in case of conflict on affiliate matters, this document prevails.

## 1. Eligibility and Enrollment
1.1. Open to individuals (18+) or legal entities with a valid account.
1.2. You must provide accurate, complete information (including payment and tax details). False information leads to removal from the program and forfeiture of commissions.
1.3. Approval is at our discretion. We may refuse or remove any partner, without obligation to give reasons, particularly on suspicion of fraud or harm to Seenly's reputation.

## 2. Tracking and Attribution
2.1. Cookie window: 60 days. Commission is attributed to the partner whose link was accessed first ("First Cookie"), if registration occurs within 60 days.
2.2. Coupon priority. A valid discount/coupon code tied to a partner takes priority over cookies.
2.3. Technical limitations. We do not guarantee tracking if the user employs AdBlock, Incognito mode, blocks or deletes cookies, or uses different devices/browsers. Missing attribution for such reasons creates no obligation on us.
2.4. Attributed registrations are valid only after our validation (Section 4).

## 3. Commissions
3.1. Standard rate: 20% of the net amount (excluding VAT and processing fees) of each recurring payment made by the referred client.
3.2. Platinum tier: 30% for partners with 100 or more active referred clients. The threshold is assessed by the number of active clients at payment time; it is a discretionary bonus and may be adjusted per Section 8.
3.3. Commission duration: 12 months per referred client, starting from that client's first payment. After 12 months from a client's first payment, commissions for that client cease, regardless of whether they remain subscribed. (Commission is not lifetime.)
3.4. Calculation basis. Commission applies only to amounts actually collected and retained by Seenly. Refunded, reversed, charged-back, disputed, uncollected or cancelled amounts generate no commission.
3.5. Commissions do not combine with other discounts/special offers unless expressly agreed in writing.

## 4. Validation, Hold Period and Payment
4.1. Hold period: 30 days. A commission becomes eligible for withdrawal 30 days after the relevant transaction, to cover refunds or disputes.
4.2. Clawback. If a client requests a refund, initiates a chargeback, disputes a payment, or if we detect fraud / breach of these Terms, the related commission is cancelled and deducted from the partner's balance, including after payout (by set-off against future commissions or, absent those, by repayment from the partner). This clawback right is not limited to the hold period in cases of fraud or chargeback.
4.3. Minimum payout: 200 EUR/USD. Below this, the balance carries over.
4.4. Methods: bank transfer or PayPal. The partner bears all bank/transfer fees and currency conversion costs.
4.5. Schedule: payments are processed manually on request or automatically, after validation.
4.6. Taxes. Romanian legal-entity partners are paid against an invoice they issue. Individuals and partners in other jurisdictions are fully responsible for reporting and paying their own taxes. Where law requires withholding, we will apply it.
4.7. Set-off. We may withhold or offset any amount owed by the partner (clawback, erroneous payments) against current or future commissions.

## 5. Permitted Promotion and Restrictions
5.1. STRICTLY PROHIBITED:
- Self-referral: using your own link/code to buy subscriptions for yourself or for controlled, affiliated or colluding entities/persons;
- Fake/fraudulent accounts: creating fictitious, duplicate or false-data accounts that do not correspond to real, active clients;
- Brand bidding: bidding on keywords containing "Seenly" or typo variants on Google Ads, Bing Ads, etc.;
- SPAM: unsolicited e-mail, abusive posting, bulk messaging in breach of anti-spam law and GDPR;
- Deceptive advertising: ads appearing to be official Seenly, direct redirects to seenly.ai without your own landing page, or unauthorized promises;
- Cookie stuffing and any technique injecting/forcing affiliate cookies without genuine user intent;
- Incentivized/fraudulent traffic: paid-per-click, bots, unauthorized cashback/reward schemes producing low-quality clients;
- creating unauthorized discount codes or using the Seenly brand in domains, social accounts or materials without our written consent.
5.2. Compliance. The partner complies with all applicable laws (advertising, consumer protection, GDPR, anti-spam) and is solely responsible for its own content and channels.
5.3. Quality. Commission is granted only for real, active, paying clients. Non-converting registrations, unconverted trials or cancelled accounts are not commissionable.
5.4. Breach allows immediate cancellation of commissions (including paid ones), removal from the program and recovery of damages.

## 6. Liability and Warranties
6.1. The program is provided "as is". We do not guarantee any minimum clicks, conversions or earnings.
6.2. To the extent permitted by law, our total liability to the partner is limited to eligible unpaid commissions owed at the time of the event. We are not liable for indirect damages or lost profit.
6.3. Indemnification. The partner indemnifies us against any claim, damage or expense arising from its promotion, breach of these Terms or the law (including spam or deceptive-advertising claims).
6.4. Independent relationship. The partner is an independent contractor. These Terms create no employment, agency, partnership or franchise. The partner may not bind or represent Seenly.

## 7. Termination
7.1. Either party may end participation anytime, with or without cause, by notice.
7.2. Voluntary termination: balances below the minimum payout (Section 4.3) at termination are forfeited.
7.3. Termination for fraud/breach: all unpaid commissions are retained as a penalty, and amounts already paid on fraudulent activity may be recovered.
7.4. We may suspend the partner account and withhold payments during a fraud investigation.

## 8. Changes to or Ending of the Program
8.1. We reserve the right to change percentages, thresholds, duration or these Terms at any time. Changes apply only to future transactions, not retroactively.
8.2. We may suspend or close the affiliate program entirely, with reasonable notice; eligible commissions accrued by then are paid per the Terms.

## 9. Confidentiality
The partner keeps confidential any non-public information obtained through the program and does not use it for any other purpose.

## 10. Governing Law
These Terms are governed by Romanian law. Disputes fall under the jurisdiction of the courts of Bucharest, Romania.
