Terms & Conditions Partners Program

Version 1.0 – Effective Date: October 06, 2025

This Agreement (“Agreement”) sets forth the terms and conditions governing participation in the Seenly Partner Program (“Program”), administered by Etienne Solutions SRL (“We”, “Seenly”). By generating an affiliate link or activating the partner dashboard, you agree to comply with these Terms.

1. ELIGIBILITY AND ENROLLMENT

1.1. Participation

The Program is open to any registered user of the Seenly platform who holds a valid account and who has not previously violated the platform's Terms of Use. We reserve the discretionary right to refuse or revoke partner status for any user, without detailed justification.

1.2. Self-Referral Prohibition

Using your own affiliate link to purchase subscriptions for yourself or for companies you own or control is strictly prohibited. Any commission generated through self-referral will be automatically voided, and the account may be suspended.

1.3. Independent Contractor Status

Partners act as independent contractors and are not employees, agents, or legal representatives of Etienne Solutions SRL. You do not have the authority to make statements or commitments on our behalf.

2. TRACKING AND ATTRIBUTION MECHANISM

2.1. Tracking Methods

Client attribution (“Referrals”) is determined using two primary methods:

Affiliate Link (Cookie):
Visitors accessing the website via the partner’s unique link receive a cookie with a 60-day validity. The “First Cookie” rule applies (the first partner who brings the visitor receives credit).

Discount Coupon:
If a customer uses a coupon code assigned exclusively to a partner, the commission is credited to that partner regardless of existing cookies. Coupon usage has the highest priority.

2.2. Limitations

  • Tracking is not guaranteed if users employ AdBlock tools, browse in Incognito Mode, or manually delete cookies.

  • Attribution is final once payment is processed. We cannot retroactively move a client from one partner to another except in cases of proven technical errors in our system.

3. COMMISSIONS AND TIERS

3.1. Commission Calculation

Commissions are calculated as a percentage of the net amount paid by the customer (excluding VAT and payment processor fees) for each recurring transaction, for the entire lifetime of the subscription (“Lifetime Commission”).

3.2. Dynamic Tier System

The commission percentage varies depending on the number of active referred customers, according to the current tier structure (subject to modification with notice):

  • Bronze (0–5 clients): 10%

  • Silver (5–20 clients): 15%

  • Gold (20–100 clients): 20%

  • Platinum (100+ clients): 30%

3.3. Exceptions

Commissions are not awarded for:

  • Trial periods not converted into paid subscriptions

  • Zero-value transactions or payments below the minimum threshold of 10 EUR/USD (fraud prevention)

4. PAYOUTS AND HOLD PERIOD

4.1. Hold Period (Pending Status)

To prevent fraud and chargebacks, generated commissions remain in “Pending” status for 30 days from the transaction date.

Example:
A customer pays on October 1st → the commission becomes eligible for withdrawal on October 31st, provided no refund has been requested.

4.2. Cancellations and Refunds

If a customer requests a refund during the hold period, or if the transaction is flagged as fraudulent, the associated commission will be marked as “Rejected” and deducted from the partner’s balance.

4.3. Payouts

  • Minimum Threshold: Withdrawals can be made only when the eligible balance (“Available Balance”) exceeds 200 EUR/USD.

  • Processing: Payments are made manually upon request or automatically (if configured), via bank transfer or PayPal.

  • Fees: The partner is responsible for any bank charges or PayPal transfer fees.

  • Invoicing:

    • Romanian legal entities must issue an invoice to Etienne Solutions SRL to receive payouts.

    • Individuals are responsible for reporting their income according to their local tax laws.

5. PERMITTED PROMOTION AND RESTRICTIONS

5.1. Allowed Channels

Blogs, social media (original content), newsletters, YouTube, online communities, and direct recommendations.

5.2. Google Ads / PPC Restrictions (Brand Bidding)

  • It is STRICTLY PROHIBITED to bid on keywords containing our brand (“Seenly”, “Seenly.ai”, “Etienne Solutions”) or variations thereof on Google Ads, Bing Ads, etc.

  • Creating ads that appear to be official Seenly ads or that send traffic directly to our website without an intermediary landing page is prohibited.

  • Violation of this rule results in immediate account suspension and forfeiture of all commissions.

5.3. Spam Prohibition

Sending unsolicited emails (SPAM) or mass-posting affiliate links in groups/forums is prohibited.

6. LIABILITY AND WARRANTIES

6.1. System Functionality

Seenly does not guarantee uninterrupted operation of affiliate links. We are not responsible for lost commissions due to external technical issues (e.g., deleted cookies, network problems) or platform downtime.

6.2. Program Modifications

We reserve the right to modify commission percentages, payout thresholds, or these Terms at any time. Changes apply only to future transactions, not retroactively.

6.3. Anti-Fraud Clause

If we detect suspicious activity (e.g., stolen cards, fake accounts created solely to reach a tier threshold), we may freeze payouts indefinitely until the investigation is complete. Our decision is final.

7. TERMINATION

7.1. Either party may terminate this Agreement at any time, with or without cause.

7.2. Upon voluntary termination, eligible commissions below the 200 EUR threshold are forfeited.

7.3. In cases of fraud or violation of the Terms (e.g., Brand Bidding), all unpaid commissions are withheld as penalty.

8. CONFIDENTIALITY

The Partner acknowledges that access to the affiliate dashboard may reveal internal metrics or marketing strategies of Seenly. Such information is confidential and must not be disclosed to third parties.
